PNC Financial Services Group, Inc.

A class action lawsuit was commenced on behalf of all persons and entities who purchased or otherwise acquired the securities of PNC Financial Services Group, Inc. ("PNC") between July 19, 2001 and July 18, 2002, inclusive (the "Class Period"), seeking to pursue remedies under the Securities Exchange Act of 1934 (the "Exchange Act"). The complaint names PNC, James E. Rohr, Robert L. Haunschild, Samuel R. Patterson and Ernst & Young as Defendants. The complaint alleges that, during the Class Period, Defendants misrepresented PNC's financial results and issued false and misleading statements with regard to PNC's financial condition in connection with three special purpose entities PNC had established with American Insurance Group, allegedly in order to remove non-performing assets from its balance sheet. A partial settlement of $36.6 million dollars has been reached and litigation continues against defendant Ernst & Young.
