Xcelera.com, Inc.

A class action lawsuit was commenced on behalf of all persons and entities who purchased or otherwise acquired the securities of Xcelera.com, Inc. ("Xcelera" or the "Company") between April 1, 1999 and July 31, 2000, inclusive (the "Class Period"), seeking to pursue remedies under the Securities Exchange Act of 1934 (the "Exchange Act"). The complaint alleges that Defendants misrepresented and/or omitted material information concerning Xcelera.com's financial condition and prospects, including that Defendants failed to disclose material information, including that as a result of certain transactions entered into prior to April 1, 1999, Xcelera.com's current shareholders face a potential dilution of 32%-45% and a potential tax liability of between $2 and $7 per share as a result of its transaction with Exodus Communications.
